Craft Vendor Agreement Negaunee Location This Craft Vendor Agreement (“Agreement”) is entered into by and between Castle906Market LLC (“Market”) and the undersigned vendor (“Vendor”) for participation in craft vendor sales at the Castle906Market location in Negaunee, Michigan. The property where the Market operates is owned by E and J Land Company (“Property Owner”). Castle906Market LLC and E and J Land Company may collectively be referred to in this Agreement as the “Released Parties.” By participating as a Vendor, the Vendor agrees to the following terms and conditions. 1. Vendor Participation Vendor agrees to sell only handmade or handcrafted items appropriate for a family-friendly market environment. The following items are strictly prohibited and may not be sold at the Market: • Homemade items intended for application to the body, including but not limited to cosmetics, soaps, lotions, oils, balms, or similar products. • Any item that violates local, state, or federal laws or regulations. • Any product deemed inappropriate by Castle906Market. Castle906Market LLC reserves the right, at its sole discretion, to prohibit the sale of any product that does not align with the standards of the Market. 2. Vendor Setup and Removal Vendor is responsible for all setup and removal of their booth and materials. • Setup may begin at 9:30 AM. • Vendors must remain set up during market hours unless otherwise approved by Market staff. • Vendors must fully tear down and remove all materials from the property by 6:30 PM. Vendor must supply all booth materials including tables, chairs, tents, displays, signage, and equipment. Vendor agrees to leave their space clean and remove all trash and materials when departing. 3. Vendor Space Vendor space will be assigned by Castle906Market. Vendor agrees to: • Use only the assigned space. • Keep displays within the designated area. • Maintain a safe and organized booth area. • Avoid blocking walkways, entrances, or neighboring vendor spaces. Castle906Market reserves the right to relocate vendor spaces as needed for operational or safety reasons. 4. Liability and Property Damage Vendor acknowledges and agrees that Castle906Market LLC and the Property Owner, E and J Land Company, including their owners, employees, agents, and representatives, shall not be held responsible or liable for any loss, theft, damage, or destruction of Vendor property. This includes, but is not limited to: • Merchandise or inventory • Booth structures, tents, tables, or displays • Equipment or setup materials • Personal property • Any other items brought onto the property by the Vendor Vendor understands that all property brought onto the premises is at the Vendor’s sole risk. Neither Castle906Market LLC nor E and J Land Company shall be responsible for damages resulting from weather conditions, customer interactions, other vendors, accidents, or unforeseen circumstances. 5. Indemnification and Hold Harmless Vendor agrees to indemnify, defend, and hold harmless Castle906Market LLC and E and J Land Company, including their owners, employees, agents, and representatives, from and against any and all claims, damages, losses, liabilities, costs, or expenses, including legal fees, arising from or related to: • Vendor participation in the Market • Vendor products or merchandise • Vendor booth setup, equipment, or displays • Vendor negligence or actions • Injury, illness, or damages involving customers, other vendors, or third parties Vendor agrees that neither Castle906Market LLC nor E and J Land Company shall be held accountable for any such claims or damages. 6. Compliance With Laws Vendor agrees to comply with all applicable local, state, and federal laws, including any licensing, tax, or regulatory requirements related to the sale of their products. Vendor is solely responsible for required business licenses or permits, sales tax collection and reporting, and compliance with product regulations. 7. Market Conduct Vendor agrees to maintain professional and respectful conduct toward customers, other vendors, and Market staff. Castle906Market reserves the right to remove a vendor from the Market without refund or future participation if the vendor violates this Agreement, sells prohibited items, or engages in unsafe, disruptive, or inappropriate conduct. 8. Weather and Market Conditions Vendor acknowledges that the Market operates in an outdoor environment and may be subject to weather conditions. Castle906Market LLC and E and J Land Company are not responsible for weather-related damages, event interruptions or cancellations, or environmental conditions affecting vendor equipment or merchandise. Vendor participates at their own risk. 9. Termination Castle906Market reserves the right to terminate this Agreement and remove a vendor from the Market if the Vendor fails to comply with the terms outlined in this Agreement. 10. Agreement Acknowledgment By signing below, Vendor confirms that they have read, understood, and agree to comply with all terms outlined in this Agreement. 11. Vendor Weather Cancellation Castle906Market operates in an outdoor environment, and vendors acknowledge that weather conditions may impact their ability to participate on a given market day. If weather conditions are unsafe or otherwise unsuitable for the Vendor to participate, the Vendor may cancel their participation without penalty. Marketing and Social Media Castle906Market LLC may promote craft vendor weekends through its social media platforms and other marketing channels. As part of these promotions, Castle906Market may: • Feature participating vendors • Share vendor product photos • Tag or link to vendor social media pages when available Vendors are encouraged to provide their social media handles or business pages so they can be included in promotional materials. Vendors are also encouraged to promote their participation at Castle906Market through their own social media channels to help increase visibility and attendance for the market. By participating as a vendor, the Vendor grants Castle906Market permission to use publicly shared images of their products or booth for promotional purposes related to the market.
